The user acknowledges that he/she accepts the General Conditions, the Legal Warnings and the current norm, committing himself/herself not to use the services to send messages that are defamatory, insulting, or that contain erroneous, inappropriate, abusive, harmful, pornographic, threatening, prejudicial to the public image and/or to the private life of third parties, or that violate the law for any reason.
By sharing comments, the user transfers to EJ Traduction the rights to reproduce, use, distribute, publicly communicate and carry out any activity related to these comments, whether in electronic, digital, paper or any other type of medium. In particular, the user assigns said rights for the placement of comments on the EJ Traduction website, its social networking pages, etc., so that other users of different sites can access them.
By sharing personal files, the user declares that he/she owns the rights to these files, or if applicable, guarantees that he/she has the necessary rights and authorizations from the author or owner of these files, for their use and exploitation on the EJ Traduction website.
EJ Traduction declines all responsibility, with the exception of cases of force majeure required by law, for damages or prejudices caused by the use, reproduction, distribution or public communication of comments protected by the intellectual property of a third party, without the user having previously obtained the necessary authorization from the owners of the comments to carry out the use that he/she wishes to make or claims to make of the site. In this case, the user agrees to be solely responsible for any claim from a third party who claims to have rights over the contents provided.
The user shall hold EJ Traduction harmless from any claims of an economic or property nature, or any other type that a third party may make in relation to any unauthorized use of the comments.
EJ Traduction reserves the right to unilaterally remove comments present in the relevant sections of the website.
Applicable law and jurisdiction :
These Terms and Conditions and their terms are governed and interpreted in accordance with French law. The user, by the mere fact of accessing the EJ Traduction website, irrevocably gives his or her consent for the courts of competent jurisdiction by default to hear any legal action arising from or related to these terms and conditions or to his or her use of the website.
GENERAL CONDITIONS OF CONTRACT

PURPOSE AND SCOPE OF APPLICATION

The purpose of these General Terms and Conditions of Contract is to define and establish the criteria for the provision of a translation/interpreting service. They govern the business relationship between the Translation Service Provider (TSP) in its capacity as a translation service provider and the Client, the rights and obligations of both parties and any questions and disputes arising therefrom, unless otherwise agreed.

RELATIONSHIP BETWEEN THE CLIENT AND EJ TRANSLATION
A. GENERAL
EJ Translation has a written procedure for managing and analyzing consultations, determining the viability of the project, preparing estimates, contracting with the client, invoicing and recording payments.
B. CONSULTATIONS AND VIABILITY
EJ Traduction analyzes the client’s consultations according to the criteria of the translation or interpretation service. EJ Traduction determines whether all the necessary human and technical resources are available.
C. CONTRACT QUOTATION
Unless otherwise agreed with the client, EJ Traduction will draw up a contractual estimate for the client, which will include at least the price and the delivery date. The client must accept the terms and conditions as soon as possible by sending the signed contract estimate to EJ Traduction by e-mail, at which point the order is considered formalized. The client undertakes to inform EJ Traduction, at the latest when the order is placed, of certain important points that must be taken into account when carrying out the project, such as the language combination, the deadline and delivery method, the purpose of the translation or the existence of a style reference guide. In the event that a client does not inform EJ Traduction in a timely manner of certain important points, and the project does not meet the planned objective, the client is not entitled to waive payment for the service in whole or in part, or to claim any form of compensation.
D.PROVISION OF SERVICE
In order to provide the client with a complete service and in accordance with the general practices of the translation market, EJ Traduction may at any time use the services of a third party to carry out a project without the obligation to inform the client. Communications between the client and the third party hired by EJ Traduction are carried out in all cases through EJ Traduction, unless expressly authorized by the latter. The customer and the third party shall not enter into a direct contractual relationship for the purpose of providing any service that EJ Traduction is able to offer within one year of delivery of the order, unless expressly authorized by EJ Traduction.
E. DEADLINES AND DELIVERY METHODS
EJ Traduction establishes in the contract estimate, the delivery time of the translation which is counted according to working days. All time references correspond to the time zones of France (GMT + 1). EJ Traduction and the client agree on the delivery method. Such delivery shall be deemed to have been made when it can be proven, as agreed (courier, postal service, electronic format, hand delivery). Both the physical delivery and the electronic transmission are carried out under the responsibility of the client. EJ Traduction declines all responsibility for any faulty transmission of files, or for their loss during physical transport or electronic transmission of the product.
F. MODIFICATION AND CANCELLATION OF PROJECTS

In the event that the customer decides to modify the order once the signed contract estimate has been returned, EJ Traduction reserves the right to modify both the delivery date and the rates applied. Changes must be communicated in writing. Should the client decide to cancel or terminate any of the items contained in the contract estimate before EJ Traduction has completed the service in its entirety, the client must pay EJ Traduction the corresponding portion of the costs incurred as planning and resource allocation. Cancellation must be communicated in writing. In the event that the cancellation or termination occurs after EJ Traduction has finalized the order, the client must pay the full amount of the contracted estimate according to the agreed-upon terms. Thus, if the client cannot maintain its commitment during the liquidation, dissolution or other phase, it must immediately inform EJ Traduction of the situation. EJ Traduction may immediately cancel the order in part or in full, and demand immediate payment. In the event that the service requires the travel of a translator or interpreter, EJ Traduction reserves the right to apply a surcharge of 25% plus travel expenses and allowances, if the client changes the delivery date or cancels less than 24 hours in advance. In the event that the postponement or cancellation of the service occurs on the same day as the service was scheduled to be performed, EJ Traduction reserves the right to charge 100% of the amount of the estimate plus travel expenses and allowances.
G. PRICES, TERMS OF PAYMENT AND THIRD PARTY REMUNERATION
The prices or rates indicated in the contract are expressed in euros, unless otherwise indicated, and are calculated according to the number of words, per page, per document or per hour of work. Prices or rates may vary depending on the volume and urgency of the project. Quotations are charged on a per word basis unless otherwise agreed. Therefore, the contracted quote indicates an approximate amount. Nevertheless, EJ Traduction undertakes to inform the client as soon as possible of any price difference in the project, if it exceeds 20% of the initial amount, except in the case of a contract estimate with a different provision.
EJ Traduction sends the invoice to the client once the order is finalized or at the end of the calendar month in which the project was carried out. Payment must be made within 30 days from the date of the invoice, unless otherwise agreed in writing. Payment can be made by bank transfer, check, cash or any other payment system such as Paypal. When working with a client for the first time, EJ Traduction reserves the right to require a deposit of up to 30%. For orders of less than €100 or more than €2,000, EJ Traduction may require a deposit of the full amount or a portion thereof. In the event of late payment, EJ Traduction reserves the right to charge interest of 5% of the interest rate until full payment of the order. In all cases, the customer who has formalized the order is considered the sole and unique responsible for the final payment of the services subscribed, even if he is not the final recipient of the order or if he carries out the order on behalf of a third party.
In the event that the third party is delayed in delivering the project or that the project does not meet the quality requirements established by the NF-EN 15038 standard, EJ Traduction reserves the right not to pay for the order or to pay for only part of the project. If the collaborator’s non-compliance results in damages of any kind to EJ Traduction, the company may claim them from said third party.
H. CONFIDENTIALITY

EJ Traduction undertakes not to communicate to third parties or to use for its own benefit any information to which it may have access through the documents entrusted to it for translation or as reference information. The obligation of confidentiality does not apply to elements that are or will be in the public domain. All data and information expressly identified by the client as « confidential » to which EJ Traduction has had access during the performance of the contracted service, relating to the client’s company, products or any other confidential information that could be used against its competitors in the market, will be maintained in the strictest confidentiality, and unless otherwise indicated by the client, will not be disclosed or published by EJ Traduction, which will not, under any circumstances, authorize third parties to disclose or publish this information. It is understood that confidential information does not include the register of terminological glossaries collected by EJ Traduction during the translation process, unless the client and EJ Traduction have entered into a written agreement according to which these glossaries become the property of the client, and thus submit to the confidentiality clauses of this paragraph.
I. DATA PROTECTION
EJ Traduction undertakes not to divulge any information concerning clients or third parties. As well as quotes, invoices or translated content.
For his part, the client expressly accepts that his data be recorded in the administrative systems of EJ Traduction, in accordance with the current data protection regulations. The client may exercise his/her rights of access, rectification, cancellation and information. EJ Traduction does not make the client’s data available to third parties without the client’s express authorization.
J. RIGHTS OF USE AND COPYRIGHT
EJ Traduction retains all rights of use and copyright. The client is authorized to use and modify the elements ordered from EJ Traduction, provided that he or she has paid the full price agreed upon on the invoice. Any use of a translation or service that is not paid for in full, in accordance with the corresponding payment terms agreed upon and accepted, constitutes a case of illicit use and appropriation, in which case EJ Traduction reserves the right to resort to all legal and administrative means available.
K. LIABILITY AND CLAIMS
EJ Traduction is only responsible for damages caused by its own negligence in a direct and demonstrable manner. In no case shall EJ Traduction’s liability exceed the amount agreed upon at the time of the order and reflected in the corresponding contract estimate. The client warrants that he or she is in possession of all copyrights to the items ordered, and consequently EJ Traduction shall not be liable for any prejudice to the copyrights of third parties. The client is solely responsible for the use of the service or product provided by EJ Traduction. EJ Traduction does not assume any responsibility for the errors committed by the possible ambiguous or defective formulation of the original document provided by the client. EJ Traduction is committed to using antivirus programs to protect itself from possible computer attacks. However, it is not responsible for any damage caused by the possible transmission of viruses, worms, Trojan horses, spyware, etc. The client is obliged to verify the purity and integrity of the computer files received from EJ Traduction before using them. Complaints are accepted only during the 30 days following the partial or total delivery of each order. In the event of a justified complaint, EJ Traduction is obliged and authorized to correct the work. Any modification of the product after its delivery to the client cancels all responsibility of EJ Traduction in this regard. EJ Traduction is not responsible for any damage caused by the sale or non-revised transmission of the product or service to a third party. EJ Traduction is not responsible for damages caused by the degradation or loss of information or documents received from the client. The client is responsible for any fault caused by an error in its own terminology.
L. MAJOR FORCE CLAUSE
EJ Traduction assumes no responsibility in cases where, due to fortuitous causes or force majeure, it is unable to fulfill any of its obligations under these general conditions.
M. APPLICABLE LAW AND JURISDICTION

These general terms and conditions are governed by French law.

3. PROCEDURES IN TRANSLATION SERVICES
A. GENERAL
EJ Traduction guarantees compliance with the contents of the contractual estimate accepted by the client. EJ Traduction ensures the correct and timely delivery of the contracted service. To this end, it applies its quality manual.
B. MANAGEMENT OF TRANSLATION PROJECTS
EJ Traduction has a documented process for the management of translation projects, the relationship with the client during the translation process and the quality guarantee to verify that the service provided has been correctly carried out and is complete. Project management includes the allocation of each order to the human resources (project coordinator, translator, interpreter, reviser and proofreader) and technical resources (IT tools, terminology databases, style guides, audiovisual material, etc.) that are needed. Within the framework of translation project management, EJ Traduction reserves the right to call upon the services of third parties in order to carry out an order, without the obligation to inform the client.
C: PREPARATION
EJ Traduction undertakes to satisfy the administrative (elaboration of a project sheet, among others), technical (localization of the necessary resources) and linguistic (analysis of the original text and terminology work) requirements for each translation project.
D. TRANSLATION PROCESS
EJ Traduction is committed to completing the entire translation process, including translation of the text and verification by a translator, independent revision, proofreading and final verification. EJ Traduction also undertakes to keep the work completed for three years, using whatever means it considers reasonable.
E. FORMATS AND VALUE-ADDED SERVICES
EJ TRANSLATION maintains the original format of the document sent by the clients, provided that they are the same editing programs: Word, Excel and PowerPoint. The rest of the non-modifiable formats are delivered in PDF format, unless otherwise specified, in which case they must be handled by layout services, considered as an added value to the translation.

4. MODIFICATION OF THE GENERAL WORKING CONDITIONS
EJ Traduction is authorized to modify these general working conditions at any time and without prior notice. However, the client will always have access to an updated version on the EJ Traduction website. Any new version of the general working conditions will prevail over those previously drafted. The invalidity of any provision contained herein shall not affect the validity of the others. Under no circumstances shall the relationship between EJ Traduction and the client be governed by the latter’s terms and conditions, unless expressly agreed to in writing by EJ Traduction.
